InStockRx Hospital & Health System Certification

This Certification applies to hospitals, health systems, and hospital pharmacies that participate on the InStockRx platform.

By accepting this Certification, your organization confirms that the statements below are true and agrees that InStockRx may rely on them in allowing your organization to participate on the platform.

1. Hospital or Health System Status

We certify that our organization:

  • is a hospital, health system, hospital pharmacy, or health system pharmacy legally operating under applicable law;
  • holds the licenses, registrations, permits, and other governmental approvals required for its operations;
  • is legally authorized to buy, possess, transfer, and dispense prescription drugs to the extent applicable to its operations; and
  • is accepting this Certification through an individual authorized to act on behalf of the organization.

We understand that the Hospital / Health System onboarding process is available only to organizations that legitimately qualify for it and may not be selected merely for convenience or to avoid InStockRx's standard onboarding requirements.

2. Compliance with Law

We certify that our organization complies, and will continue to comply, in all material respects with applicable federal, state, and local laws governing its activities on the InStockRx platform, including applicable requirements concerning:

  • hospital and pharmacy licensing;
  • prescription drug purchasing, possession, sale, transfer, and distribution;
  • the Federal Food, Drug, and Cosmetic Act;
  • the Drug Supply Chain Security Act (DSCSA);
  • state drug supply chain and distribution requirements;
  • controlled substances and DEA requirements, where applicable;
  • drug diversion;
  • healthcare fraud and abuse;
  • patient privacy and security; and
  • other laws applicable to the organization's activities through InStockRx.

3. Licenses and Regulatory Standing

We certify that the licenses, registrations, permits, and governmental approvals required for our participation on the InStockRx platform are current and in good standing.

We further certify that we are not aware of any suspension, exclusion, debarment, license restriction, governmental order, or similar regulatory action that would prevent us from lawfully participating in transactions through InStockRx.

To our knowledge, neither our organization nor personnel responsible for transactions through InStockRx are excluded or debarred from participation in federal healthcare programs.

4. Accurate Information

We certify that the information and documents we provide to InStockRx are true, complete, and accurate in all material respects and that documents submitted to InStockRx are authentic.

We will promptly notify InStockRx if information we have provided becomes materially inaccurate or if a material change occurs that affects our eligibility to participate as a hospital or health system.

5. Verification and Documentation

We authorize InStockRx to verify our hospital, health system, pharmacy, licensing, regulatory, and eligibility status through lawful sources.

InStockRx may request reasonable supporting documentation, including hospital affiliation records, institutional pharmacy permits, DEA registrations, ownership information, authorized purchaser information, accreditation information, or other documentation reasonably necessary to confirm eligibility or satisfy compliance requirements.

We agree to cooperate with reasonable verification requests.

6. Continuing Notification Requirement

We will promptly notify InStockRx of any material change affecting our eligibility or the accuracy of this Certification, including:

  • a change in hospital or health system ownership;
  • a material change in pharmacy licensure;
  • a material change in DEA registration, where applicable;
  • loss of hospital or health system affiliation;
  • a suspension, restriction, or revocation of a material license or registration; or
  • a governmental investigation, enforcement action, or other regulatory event that materially affects our ability to participate lawfully on the platform.

7. Annual Reaffirmation

InStockRx may require our organization to reaffirm this Certification periodically, including at least annually.

An annual reaffirmation confirms that the representations contained in the then-current version of this Certification remain true and accurate.

Failure to complete a required annual reaffirmation may result in suspension of trading privileges until the reaffirmation is completed.

8. Material-Change Recertification

If a material change occurs that affects any representation made in this Certification, we must promptly notify InStockRx and provide any updated certification or supporting documentation reasonably requested by InStockRx.

InStockRx may temporarily restrict participation while it reviews a material change if reasonably necessary to determine continued eligibility.

9. New-Version Recertification

InStockRx may revise this Certification from time to time.

Each version of this Certification is identified by the version number displayed at the top of the document. A change to that version number means that InStockRx is requiring a new certification from every Hospital / Health System participant.

When InStockRx publishes a new version:

  • our prior certification will no longer be sufficient to maintain active trading status;
  • our organization will be placed in a recertification-required status;
  • we will not be permitted to trade through the InStockRx platform until an authorized representative accepts the new version; and
  • acceptance of the new version will restore eligibility to trade, subject to any other applicable InStockRx requirements.

Continued access to an account following publication of a new version does not constitute acceptance of the revised Certification. Affirmative acceptance of the new version is required before trading may resume.

InStockRx will maintain a record of the version accepted by each Hospital / Health System participant and the date of acceptance.

10. Suspension or Termination

InStockRx may suspend, restrict, deny, or terminate participation if it reasonably determines that:

  • a certification or material information provided to InStockRx is false, inaccurate, or misleading;
  • the organization no longer qualifies for the Hospital / Health System onboarding pathway;
  • required documentation or recertification has not been provided;
  • the organization has not accepted the currently required version of this Certification; or
  • continued participation presents a material legal, regulatory, compliance, or fraud risk.

11. Indemnification

Our organization agrees to defend, indemnify, and hold harmless InStockRx and its affiliates, officers, directors, employees, and agents from claims, losses, liabilities, penalties, fines, investigations, costs, and reasonable attorneys' fees arising from our organization's:

  • materially inaccurate or false certifications or representations;
  • violation of applicable law; or
  • misuse of the Hospital / Health System onboarding pathway.

12. InStockRx Rights

Participation in the Hospital / Health System onboarding process does not guarantee approval or continued access to the InStockRx platform.

InStockRx may request additional information or documentation, require use of its standard onboarding process where appropriate, impose reasonable compliance requirements, verify continuing eligibility, or discontinue the Hospital / Health System onboarding process.

Electronic Certification

By selecting "I Certify and Accept," I certify that:

  • I am authorized to act on behalf of this organization.
  • This organization qualifies as a hospital, health system, hospital pharmacy, or health system pharmacy for purposes of the InStockRx Hospital / Health System onboarding process.
  • The information provided to InStockRx is true and complete in all material respects.
  • I have reviewed Version 1.0, effective August 10, 2026, and am accepting this version on behalf of the organization.
  • I understand that InStockRx is relying on these certifications in determining the organization's eligibility to participate on the platform.

These statements are accepted in the InStockRx platform by an authorized representative of your organization. This page is the document you are accepting; it is not itself the acceptance.
